The Transfer of Undertaking (Protection of Employment) Regulations 2006 (TUPE)

This is an extremely complex area of law which arises where a business or undertaking or part of such entities is transferred from one owner to another, or where services are transferred from one service provider to another. The purpose of TUPE is to ensure that employees transfer to a new employer on their existing terms and conditions of employment and with continuity of employment preserved. Employers who attempt to change employee’s employment terms and/or dismiss employees by reason of the transfer will have breached the TUPE principles. Also, employers are obliged to inform and, if necessary, consult with all employees affected by the transfer through representatives. Failure to comply with TUPE can lead to claims which may result in severe financial penalties.
